Association of Specialty Professors
  Bylaws

To align the bylaws with ASP’s mission, current initiatives, and future goals, several changes and technical corrections have been made to the bylaws. These changes were approved by the ASP membership in July 2005, and are outlined below:

Membership Issues
  1. Expand membership to divisions with fellowship programs accredited by the Royal College of Physicians and Surgeons of Canada (RCPSC).
  2. Provide a mechanism in the bylaws to allow academically focused divisions (such as divisions of emerging specialties or divisions that offer continued training beyond residency) to join the association.
Governance Issues

Provide a mechanism in the bylaws to allow specialty areas without Accreditation Council for Graduate Medical Education- or RCPSC-accredited training programs to petition to have representation on the ASP Council.

Name Change
  1. Change the name of the association to the Association of Specialty Professors to better reflect the evolution of the organization.
  2. Incorporate the association as a 501(c)(3) instead of a 501(c)(6). Federal 501(c)(3) tax status is given to non-profit organizations that benefit the general public through charitable, religious, educational, and scientific activities. Federal 501(c)(6) tax status is given to non-profit organizations designed to benefit a specific industry. It will be important for ASP to become a 501(c)(3) in order to be eligible to receive certain educational and scientific grants.
Process for approving amendments to the bylaws

Remove language regarding the number of votes needed to approve an amendment to the bylaws, since the association has such a large membership (over 900 individuals) and proposed changes to the bylaws are vetted through the association’s council prior to being presented to the membership.
